These disclosures govern your use of PrimeFlow regardless of membership tier. Read them in full before subscribing, accessing any content, or acting on any signal.
Not a Registered Adviser. PrimeFlow is a service of InGen Tech Services LLC, doing business as PrimeFlow ("PrimeFlow," "we," "us"). PrimeFlow is not registered with the U.S. Securities and Exchange Commission (SEC) as an investment adviser under the Investment Advisers Act of 1940, is not registered as a broker-dealer under the Securities Exchange Act of 1934, is not a FINRA or SIPC member, and is not registered with the CFTC as a commodity trading advisor or commodity pool operator under the Commodity Exchange Act. No content distributed through PrimeFlow constitutes personalized investment advice, a managed account service, a securities research report, or any form of financial planning.
Educational Use Only. All content made available through PrimeFlow — including but not limited to trade alerts, watchlists, scanner output, market commentary, Discord posts, emails, videos, performance references, screenshots, and website content — is provided solely for educational and informational purposes. Options & Leverage Risk. Options trading involves unique and amplified risks including complete loss of premium paid, accelerated time decay, implied volatility exposure, liquidity risk, and early assignment. Leveraged instruments can produce losses exceeding initial capital. Automation, AI & Technology Limitations. PrimeFlow's alert and scanner systems rely on automated processes, algorithmic models, third-party data providers, and API connections. These systems may produce errors, signal delays, duplicate alerts, data omissions, or stale output at any time without prior notice. No automated or AI-assisted content should be acted upon without independent verification and personal due diligence. PrimeFlow is not liable for losses arising from technology failures, data errors, missed signals, or connectivity issues of any kind.
Testimonials & Performance References. Any member results, win-rate references, performance commentary, or screenshots shared across PrimeFlow's platforms represent individual accounts and do not reflect typical subscriber outcomes. Individual results depend entirely on factors unique to each person. PrimeFlow does not compensate members for sharing results, but members may consent to having their accounts featured. Past performance of any individual, alert, or system does not predict future results. Pursuant to SEC Rule 206(4)-1, testimonials and endorsements may not reflect the experience of all subscribers.
Conflicts of Interest. PrimeFlow earns revenue through subscription fees. PrimeFlow may use or reference third-party tools, brokers, data platforms, or services and may receive referral compensation for such recommendations. Any material conflicts will be disclosed to the extent required by applicable law, including relevant SEC and FTC regulations.
Hypothetical & Illustrative Performance. Any performance results, win rates, returns, or trade outcomes referenced anywhere on PrimeFlow may include hypothetical, simulated, illustrative, or back-tested results. Hypothetical performance results have inherent limitations: they are prepared with the benefit of hindsight, do not represent actual trading, do not account for financial risk borne in real trading, and may not reflect the impact of slippage, fees, commissions, liquidity, or emotional factors. No representation is made that any account will or is likely to achieve profits or losses similar to those shown. CFTC Rule 4.41 governs the presentation of such results, and PrimeFlow presents them for educational illustration only.
Endorsements, Affiliates & Material Connections (FTC). In accordance with the Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255) and the FTC Act, PrimeFlow discloses the following: any testimonial, endorsement, or member result reflects one individual's experience and is not typical. Tax & Legal Considerations. PrimeFlow does not provide tax or legal advice. Trading profits, losses, and subscription fees may have tax consequences that vary by jurisdiction. Consult a qualified tax adviser and legal counsel regarding your individual circumstances before making any investment or trading decision.
Subscription & Billing. PrimeFlow is a digital subscription service. All subscription fees are final and non-refundable unless otherwise required by applicable law. Cancellation stops future renewal billing only — it does not generate a refund, prorated credit, or reimbursement for unused time remaining in an active billing period. Unauthorized chargebacks, payment disputes, or abusive reversal activity may result in immediate suspension or permanent termination of access and may be referred for collections.
Indemnification. By accessing PrimeFlow, you agree to indemnify, defend, and hold harmless InGen Tech Services LLC, its members, managers, officers, employees, contractors, and affiliates from any claim, liability, damage, loss, or expense — including reasonable attorneys' fees — arising from your use of PrimeFlow content, your trading or investment activity, or your violation of these terms.
Limitation of Liability. To the maximum extent permitted by applicable law, PrimeFlow's total aggregate liability to any subscriber shall not exceed the total subscription fees paid by that subscriber during the three months immediately preceding the claim. PrimeFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages of any kind, regardless of the theory of liability.
Governing Law & Dispute Resolution. These disclosures and your use of PrimeFlow are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively through binding individual arbitration under the rules of the American Arbitration Association, seated in Miami-Dade County, Florida. You expressly waive any right to participate in a class action lawsuit, class-wide arbitration, or any representative proceeding of any kind.
Amendments. PrimeFlow reserves the right to modify these disclosures at any time without prior notice. Continued use of PrimeFlow following any posted modification constitutes your acceptance of the updated terms.
